On April 22, 2025, at the International Convention Center in Hanoi, Vinacontrol Group successfully held its Annual General Meeting of Shareholders for 2025. The meeting was attended by the Board of Directors, the Supervisory Board, the Executive Board, esteemed shareholders, and representatives of the Group’s employees. This important occasion served as a platform for the Board and shareholders to review the achievements of 2024 and to discuss and approve strategic plans for 2025 along with other significant matters.

Overview of the 2025 Annual General Meeting of Shareholders
In 2024, Vinacontrol Group recorded steady growth, reaffirming its competitive capacity and leading position in the field of conformity assessment in Vietnam, despite a complex and volatile domestic and global socio-economic landscape. Total consolidated revenue from service provision reached VND 820.48 billion, officially surpassing the VND 800 billion milestone, marking a 15.73% increase compared to the same period in 2023. The Group’s after-tax profit stood at VND 36.35 billion, equivalent to 96.39% of the 2023 result.
These impressive figures not only reflect the relentless efforts of Vinacontrol’s employees but also demonstrate the agility and strategic responsiveness of the Executive Board in adjusting business direction, accelerating digital transformation, and maintaining trust from clients and partners.

Looking ahead to 2025, the General Meeting approved the business plan, targeting continued steady growth. Specifically, Vinacontrol sets a consolidated revenue target of VND 850 billion, an after-tax profit of VND 50 billion, and a minimum cash dividend of 10% of charter capital.
Based on a comprehensive evaluation of the economic landscape, the Board of Directors has developed business directions to ensure the fulfillment of the above goals. Emphasis will be placed on strengthening corporate governance, accelerating digital transformation, enhancing digital marketing effectiveness, expanding into regional markets, and developing high-quality human resources. Additionally, Vinacontrol will continue to focus on core services such as greenhouse gas inventory, energy auditing, services under Decision 29, and other new services aligned with the green transition strategy.
Within the scope of the meeting, shareholders also approved several important resolutions, including:

Issuance of an additional 10,499,566 shares, increasing the company’s charter capital (tentatively) to VND 209,995,110,000.

Amending the business lines to align with actual operations and approving the corresponding amendments to the company’s Charter.

Capping the foreign ownership ratio at a maximum of 5%, which will remain in effect until otherwise decided by the General Meeting of Shareholders.

Appointing the independent auditing firm for Vinacontrol Group in 2025.

Approving the revised internal governance regulations, as well as the operational regulations of the Board of Directors and the Supervisory Board.

Approving the total remuneration package for members of the Board of Directors and Supervisory Board for 2025.
