I. Comprehensive Review of Governance and 2025 Business Performance

The year 2025 marked a historic milestone for Vinacontrol as it officially joined the "trillion-dong enterprise club" and exceeded its planned targets:

  • Consolidated Revenue: Reached VND 1,074,510,996,735 (exceeding the plan by 26.41% and increasing by 30.45% compared to 2024).
  • Consolidated Profit After Tax: Reached VND 83,172,768,022 (exceeding the plan by 66.35% and equaling 228.80% compared to 2024).

This outstanding performance demonstrates the strategic direction of the Board of Directors (BOD) and the flexible executive leadership of the Board of Management.

By maintaining its market share in core services (woodchips, food, machinery and equipment, raw materials and fuels, scrap, etc.) and expanding into high-potential new services (greenhouse gas), Vinacontrol established a solid foundation for target segments to achieve breakthrough growth. Specifically, revenue from services catering to State Management reached VND 201.39 billion (an increase of 61.13%) thanks to the timely capacity to meet new specialized inspection regulations. This aligned with biddings achieving a total winning contract value of VND 83.9 billion (equaling 111% compared to 2024), asserting Vinacontrol's competitive position and brand reputation in large-scale projects.

  • Undistributed Profit After Tax: Reached VND 71,449,449,418, which is utilized for dividend payouts to guarantee shareholder rights, alongside allocations to the investment and development fund and the reward and welfare fund to serve sustainable reinvestment goals.
  • Dividends Paid for 2025: 12%, equivalent to VND 25,198,934,400.

II. Improving Internal Corporate Governance and Institutionalizing the New-Term Leadership Structure

To prepare for the large-scale development phase following the VND 1,000 billion milestone, this year's agenda focused significantly on the sustainability of internal institutional frameworks. The AGM engaged in candid discussions and voted to approve crucial legal submissions:

  • Approval of amendments to the Company's Charter, Internal Regulations, Corporate Governance Regulations, and Operational Regulations of the BOD: Focuses on reducing the threshold for passing resolutions via written ballots, elevating nomination rights for major shareholder groups, tightening criteria and the headcount of independent members, while increasing transaction approval limits and clearly demarcating decision-making boundaries between the BOD and the AGM. These core shifts aim to enhance operational flexibility and initiative, properly control conflicts of interest, and upgrade independent oversight capacity to create a sturdy platform for the upcoming large-scale expansion phase.
