Vinacontrol is the first inspection, testing and certification organization with the longest history in Vietnam, established in 1957 and is also the only enterprise on the stock exchange operating in the commodity inspection industry. In the period 2017 - 2023, Vinacontrol's revenue reached over 500 billion VND and grew steadily each year. In particular, in 2023, Vinacontrol's revenue will peak at 712.9 billion VND, an increase of nearly 12% compared to the previous year, and profit will reach 37.7 billion VND. April 23, 2024, at Metrople Convention Center, City. Ho Chi Minh City, Vinacontrol Group organizes the Annual General Meeting of Shareholders in 2024, with the participation of shareholders holding shares reaching 90.86% of the Company's total voting shares.
Vinacontrol Group 2024 General Meeting of Shareholders approved the reports of the Board of Directors, Supervisory Board, and Executive Board on operating results in 2023 and operating plan for 2024 along with many other important contents.
Vinacontrol Group, formerly the Department of Import and Export Goods Inspection under the Ministry of Trade, now the Ministry of Industry and Trade - is a pioneering organization in the field of inspection, testing, certification and quality assessment in Vietnam. Vinacontrol is also known as an inspection organization with the longest history and most extensive scale in Vietnam.
By the end of 2023, Vinacontrol has achieved good business results, specifically:
• Total revenue on the consolidated financial statements reached 712,969,057,839 VND (reaching 111.4% of the plan, equal to 117.71% compared to 2022);
• Profit after tax on the consolidated financial statements reached 36,795,330,569 VND (reaching 100.81 compared to plan);
• Dividend paid in 2022 is 12%, equivalent to 12,599,467,200 VND.
• Profit after tax for allocation in 2023 is 36,795,330,569 VND.
• The 2023 dividend payment plan is 15%, equivalent to 15,749,340,000 VND.
• In the domestic market, the number of customers served increased by 14.78% over the same period last year.
• Revenue of the State Management service group reached 118.29 billion VND, growing 22.84% over the same period and contributing 18.27% to the total revenue of the Parent Company.
• Newly developed services and products recorded impressive revenue growth, typically aquatic food conformity certification, lubricant oil certification, VietGAP certification and medical equipment inspection, etc…
• For the international market and cooperation with foreign customers and partners, 2023 is a relatively successful year when revenue grows well compared to the same period in 2022, up 8.06% to 34.69 billion VND, exceeding the plan by more than 2.69 billion VND.
• Regarding bidding work, the number of participating and winning bidding packages both increased sharply compared to the same period in 2022, increasing by 32.69% and 32.26%, respectively. In total, in 2024, Vinacontrol won 41 projects/contract packages with a value of 86.67 billion VND, reaching 193% of the 2023 plan and 163% compared to the same period in 2022.
At the 2024 General Meeting of Shareholders, Vinacontrol Group also approved a number of particularly important contents such as:
• Buy back shares and plan to buy back shares to reduce the Company's charter capital;
• Amending and promulgating the Company's Charter;
• Additional lines of business registration for the Company, including: Logistics, Greenhouse inventory consulting, emission reduction appraisal, carbon credit confirmation, Receiving and transferring deflation technology and techniques clean energy emissions, Consulting on environmental impact assessment and climate change, Training on labor safety, etc.;
• Statement of term of office of the Board of Directors/Board of Supervisors and number of members of the Board of Directors/Board of Supervisors;
• Presentation of List of candidates for the Board of Directors and Supervisory Board, Term 2024-2026
• Election of members of the Board of Directors and Supervisory Board for the 2024-2026 term
Based on analysis and assessment of the general economic situation and the current status of Vinacontrol's main business areas, the Board of Directors of Vinacontrol Group determined a number of main goals in 2024 as follows:
• Total consolidated revenue reached 735 billion VND;
• Consolidated profit after tax reached 35 billion VND;
• Minimum dividend of 12% on charter capital.
• Strong focus on digital transformation: Integrate and promote the application of digital technology into the Group's operations, taking advantage of technologies to fundamentally change the way of operating, business models and providing values new value for customers, as well as accelerating business activities.
• Invest in research and development activities as the foundation for Vinacontrol's business activities in the coming years. In particular, special attention is paid to developing services related to safety, sustainable development, and green transformation such as consulting, appraisal of greenhouse gas inventory reports, and mitigation reports of greenhouse gas emissions. glasses, carbon credits, forest management certificates, etc.
• Develop foreign markets through establishing representative offices and branches abroad.
• Continuously improve the quality management system. Deploy and integrate the quality management system according to ISO 14065-1 standards: Organize appraisal and inspection of greenhouse gases into the Company's existing quality management system.
• Complete the new salary regulations to accurately classify and evaluate the work performance of each individual, thereby attracting, maintaining and developing the Group's core workforce.
